1. Introduction

This document defines the Terms of Use and Privacy Policy governing the use, access, and interaction with AXPT, a precision aviation asset layer issued by AriyaX Capital Ltd, and operated in part by AriyaX LLC FZ via the digital infrastructure of ariyax.com.

2. Entity Definitions

• AriyaX Capital Ltd is a company incorporated under the laws of the British Virgin Islands (BVI) and functions as the token issuer and custodian of AXPT’s capital structure.
• AriyaX LLC FZ is a UAE-based entity responsible for platform operation, brand development, and commercial positioning.
• ariyax.com is the official digital infrastructure representing the product and service offerings of both entities.

Each entity is separately and jointly entitled to legal protection under the terms specified herein.

3. Token Use & Non-financial Nature

• AXPT is not equity. It does not confer ownership in either AriyaX Capital Ltd or AriyaX LLC FZ.
• AXPT is not yield. It does not automatically entitle holders to dividends, income rights, or passive revenue.
• AXPT is not a public offer. It is distributed exclusively under private placement exemptions (Regulation D and Regulation S) in compliance with applicable securities laws.

The token may represent access rights, data interaction layers, or programmatic privileges only as defined in separate private agreements or technical integrations.

4. Regulatory Compliance

• S. Investors:Only accredited investors may participate under Regulation D (Rule 506(c)).
• Non-U.S. Participants:Must qualify under Regulation S, and explicitly confirm they are not U.S. persons.
• All users and token holders are subject to KYC/AML, anti-terrorism, and sanctions screening
• Any offering or interaction is void where prohibited by law.

AriyaX does not market, offer, or distribute AXPT to the general public.

5. Jurisdiction & Legal Venue

• Any disputes, claims, or legal matters shall be governed by the laws of the British Virgin Islands.
• Users agree to confidential arbitration in BVI prior to any legal filing.
• Users waive the right to class action or group litigation against either entity.

No other jurisdiction shall be considered valid without explicit legal and contractual agreement.

6. Intellectual Property & Platform Rights

• All trademarks, brand assets, design systems, logic structures, source code, and content—whether digital or procedural—are the exclusive property of AriyaX Capital Ltd and/or AriyaX LLC FZ.
• Unauthorized reproduction, tampering, resale, or public representation is strictly prohibited.
• AriyaX reserves the right to pursue civil and criminal penalties in case of infringement.

7. Data Collection & Privacy Policy

• Identity and biometric data (e.g., passport, facial scans, national ID)
• Contact information (email, phone, address)
• Financial credentials (bank accounts, blockchain wallet addresses)

Why We Collect It:

• Investor misunderstanding of token function

To the fullest extent permissible by law, users agree to hold both entities harmless.

You are solely responsible for:

• Verifying your jurisdictional and regulatory eligibility
• Understanding the terms of AXPT before transacting
• Maintaining the security of your wallet and login credentials
• Reporting suspicious or unauthorized activity
